These Terms of Use ("Terms") govern your access to and use of the website operated by Fantom Aero LLC ("Fantom," "we," "us," or "our"), including any reservation flow, configurator, and related content (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
The Site presents information about the Fantom X, a single-seat electric vertical take-off and landing (eVTOL) aircraft engineered to fall within the U.S. Federal Aviation Administration's FAR Part 103 ultralight category. The Fantom X is not an FAA type-certified aircraft.
Renderings, films, animations, 3D models, and configurator visuals on the Site are concepts and forward-looking representations in development. They are provided for illustration only, may differ materially from any delivered aircraft, and do not constitute a specification, warranty, or guarantee of any feature, performance figure, appearance, price, or availability.
Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security. Any securities of Fantom Aero LLC, if offered, are offered solely through private placement to investors with whom the company has a substantive pre-existing relationship, pursuant to Rule 506(b) of Regulation D under the Securities Act of 1933. Investing in private securities involves substantial risk, including risk of complete loss of capital.
A reservation allows you to indicate your interest in, and hold a position for, a future Fantom X. A reservation is not a purchase agreement and does not transfer title to any aircraft. The terms of any purchase are governed by a separate Reservation Agreement and, ultimately, a definitive purchase agreement.
You must be at least 18 years of age and able to form a binding contract to submit a reservation. You represent that the information you provide is accurate and that you are authorized to act on behalf of any party you represent.
All content on the Site — including the Fantom name and logo, text, imagery, 3D assets, films, designs, and software — is owned by or licensed to Fantom and is protected by intellectual-property laws. You may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the Site without our prior written consent, except for ordinary personal, non-commercial viewing.
The Site may link to or rely on third-party services (for example, hosting, fonts, analytics, and payment processors). We do not control and are not responsible for third-party content or practices. Your use of third-party services is governed by their terms and policies.
The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any forward-looking statement, timeline, or specification will be achieved.
To the maximum extent permitted by law, Fantom and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Site. Our aggregate liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100), except where such limitation is prohibited by law.
You agree to indemnify and hold harmless Fantom from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your breach of these Terms.
Statements on the Site regarding aircraft specifications, performance, timelines, pricing, regulatory positioning, and business strategy are forward-looking and subject to material change. Actual results and products may differ.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless otherwise required by applicable law.
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
